If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Services

SoldApp is a unified business management platform that provides point-of-sale (POS), inventory management, order management, stock tracking, customer relationship management (CRM), analytics, and storefront solutions. Our Services are designed for retail, wholesale, and hospitality businesses and are accessible via our website, web application, and mobile application.

3. Account Registration and Security

  • You must create an account to access most features of the Services. You agree to provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account or any other security breach.
  • We reserve the right to suspend or terminate accounts that provide false or misleading information, or that violate these Terms.
  • You are responsible for managing user access and permissions within your organization's account, including employee accounts and role-based access controls.

4. Permitted Use

You agree to use the Services only for lawful business purposes and in accordance with these Terms. You may:

  • Use the Services to manage your business operations, including sales, inventory, orders, customer data, and analytics.
  • Grant access to authorized employees and team members within your organization.

5. Prohibited Conduct

You agree not to:

  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or our systems and networks.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services.
  • Modify, adapt, translate, or create derivative works based on the Services without our prior written consent.
  • Use automated systems, bots, scrapers, or similar technology to access the Services in a manner that exceeds reasonable use.
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content.

6. Your Data

  • Ownership: You retain all ownership rights to the data you input, upload, or generate through the Services ("Your Data"). We do not claim ownership of Your Data.

7. Subscription and Payment

  • Plans: Access to the Services is provided through subscription plans as described on our pricing page. Features and limitations vary by plan.
  • Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). All fees are quoted and payable in the currency specified at the time of purchase.
  • Payment Processing: Payments are processed through secure third-party payment providers. By providing payment information, you authorize us to charge your chosen payment method for the applicable fees.
  • Price Changes: We reserve the right to modify our pricing. We will provide at least 30 days' advance notice of any price increase, and changes will take effect at the start of your next billing cycle.
  • Refunds: Subscription fees are generally non-refundable except as required by applicable law or as otherwise stated in our refund policy.
  • Late Payment: If payment fails or is overdue, we may suspend or restrict access to the Services until payment is received.

8. Intellectual Property

  • The Services, including all software, designs, text, graphics, logos, icons, and other content, are owned by SoldApp and protected by intellectual property laws.
  • The SoldApp name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SoldApp. You may not use these marks without our prior written permission.
  • These Terms do not grant you any right, title, or interest in the Services or our intellectual property, except for the limited right to use the Services as expressly permitted herein.

9. Service Availability and Modifications

  • We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation.
  • We may modify, update, or discontinue features of the Services at any time. We will provide reasonable notice of material changes that may adversely affect your use.
  • Scheduled maintenance windows will be communicated in advance when possible.

10. Termination

  • By You: You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Services ceases immediately.
  • By Us: We may suspend or terminate your access to the Services immediately if you breach these Terms, engage in fraudulent activity, fail to pay fees, or if required by law.
  • Effect of Termination: Upon termination, we will retain Your Data for a reasonable period (typically 30 days) to allow you to export it. After this period, Your Data may be permanently deleted in accordance with our Data Deletion Policy.
  • Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLDAPP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless SoldApp and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) Your Data or the data of your customers processed through our Services.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SoldApp is incorporated, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall first be resolved through good-faith negotiation. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in our jurisdiction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Data Deletion Policy, constitute the entire agreement between you and SoldApp regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
